This SERVICE PROVIDER – MEGHDUT PLATFORM AGREEMENT (“Agreement”) defines the terms and conditions governing the use of the Meghdut Digital Platform, (“MDP” or “Platform”, “we”, “our”, “us” etc.) owned by Syspedia Technologies Private Limited (“STPL”), a company incorporated under the Companies Act of 2013, having its principal place of business at Unit 603, PS Qube Building, Action Area II D, Kolkata-700156, and its affiliates, by Service Providers (“SP”) onboarded on the Platform for the purpose of being connected with customers on the Platform, made available through the website www.meghdut.online for rendering daily-needs services as required by the Platform’s customers. It outlines the rights and obligations of both the Platform and the SP and serves as the blueprint for the relationship between the Platform and the SP, covering everything from Platform usage rules to payment terms.
These terms and conditions (“Terms”) govern the use of services made available through the Platform. These Terms also include any guidelines, additional, or supplemental terms, policies, and disclaimers made available or issued by us from time to time (“Supplemental Terms”). Such Supplemental Terms form an integral part of these Terms. In the event of a conflict between these Terms and the Supplemental Terms with respect to applicable Services, the Supplemental Terms will prevail.
WHEREAS STPL owns and operates the Meghdut Digital Platform (“MDP” or “Platform” hereafter) which is a digital platform where registered customers can log in to avail services as per process described below, from the various onboarded SPs.
By onboarding on the Platform, you represent and warrant that you have full legal capacity and authority to agree to and bind yourself to these Terms. If you represent any other person, you confirm and represent that you have the necessary power and authority to bind such person to these Terms.
You agree that you have read, understood, and are bound by, these Terms, as amended from time to time and prominently displayed on the Meghdut Digital Platform home page, and that you will comply with the requirements listed here. These Terms expressly supersede any prior written agreements with you. If you do not agree to these Terms, or comply with the requirements listed here, please do not use the Platform.
1. DEFINITIONS
- Platform: Platform refers to the Meghdut website, its various applications and features, mobile browser and browser extensions and all other interconnected systems that together enable the various intended services.
- Customer: refers to any individual who uses the Platform to search for, view, or purchase products and services offered through the Platform.
- Service Providers: Service Providers (SPs) are skilled individual or corporate service professionals who offer ‘daily-needs’ services either at the customers' premises or from their designated office or shops and are onboarded on the Meghdut Platform to provide services to Meghdut Platform customers.
- Services: These are the various daily-need services that are featured on the Platform under various categories, and catered to by the onboarded SPs for customers to select, send enquiry and avail.
2. SERVICE-RELATED ACTIVITIES ON THE PLATFORM
a) Onboarding Process:
To be enlisted as a Service Provider on the Meghdut Platform, you will be required to fill up an onboarding form covering certain personal details, business details, upload necessary images and videos highlighting your work as well as a few mandatory documents as required from time to time. By submitting these details, you agree to the Terms and Conditions mentioned herein and displayed on the Platform Home Page. Upon completion of the onboarding, you will receive through WhatsApp i) a digital ID card, with your unique QR code and ii) a short welcome video clip. You warrant that all information furnished in connection with your registration is and shall remain accurate and true. You agree to promptly update your details on the Platform in the event of any change to or modification of this information.
b) Service Process:
Customers who are registered on the Platform can log-in and search, select and send enquiries to SPs for availing required services and then take the enquiry offline to its logical conclusion, including finalizing rates, terms and conditions of engagement and upon agreement, get the service rendered by the SP. Upon completion of service, customer is expected to give feedback rating regarding the service quality and satisfaction by scanning the SP-specific QR Code and uploading such feedback rating to the Platform. Alternately, the customers may also post their service requirements on the Platform, such that i) the Platform can flag such tasks to relevant SPs based on shortlisting criteria like location where service is required, nature of task, SP’s availability and service rating of provider, or ii) the Platform itself might assume the role of the lead contractor and accomplish the task utilizing the services of onboarded SPs.
3. SERVICE PROVIDERS OBLIGATIONS
Obligations of the Service Providers include, amongst others, the following:
- Providing true and correct information and documents that are not misleading or incomplete in any way, as required at the time of onboarding, or subsequently.
- Keeping the digital ID card issued by the Platform accessible at all times and carefully viewing the Welcome video sent by the Platform upon completion of the onboarding process.
- To update any personal information or service-related details as and when such updating is required.
- Promptly contacting customers on receipt of service enquiry via WhatsApp message, either from the customer directly or from the Platform Admin.
- Attending service calls in a timely manner as agreed with the customer and inform the customer suitably in case of any unavoidable delays.
- Ensuring politeness and courteous behaviour during all interactions with customers and maintain the highest standards of cleanliness, hygiene and dressing up/grooming when visiting customer premises, or when customers visit your shop/establishment as the case may be.
- Offering quality services as per laid-down/standard SOPs, ensuring that there is no physical injury to customers or their family members and associates, no damage to property/equipment, maintaining the highest standards of safety and safe practices and at the same time ensuring that service provider’s own safety and wellbeing is also not compromised in any manner.
- Thorough cleaning up after completion of service engagement at customer premises and returning equipment, implements and tools borrowed from or provided by customer.
- Ensuring that full transparency and fair practices are maintained in commercial/financial transactions, adhering to all agreed terms and conditions in the matter.
- Ensuring that all the required licenses or certifications are obtained and duly renewed as the service might require.
- Ensuring that at all times during engagement with customers or even otherwise, refraining from indulging in malpractices, fraudulent or criminal activities and or such activities that are illegal or violates provisions of the Consumer Protection Act 2019 or its further amendments as well as provisions of the Consumer Protection (E-Commerce) Rules, 2020 and its further amendments.
- On completion of each service engagement, SP must obtain the feedback rating from the customer by displaying the QR Code on the digital ID card and explaining to the customer the process for scanning the QR Code and submitting the service rating so that the SP’s service rating is suitably updated for future reference.
- You are liable and accountable for all activities that take place through your service engagement, including activities performed by persons other than you. We shall not be liable for any unauthorized activities undertaken on your behalf by any other person or entity.
- You agree to receive communications from us through WhatsApp or by phone call regarding information about us and the services, including changes in policy and directives, promotional offers and services announced from time to time by the Platform directly or other third-party partners, and any other matter in relation to the services in general or pertaining to your service category in particular.
4. PLATFORM/PLATFORM OWNERS RESPONSIBILITIES
- a. STPL will be responsible for ensuring that the Platform operates 24X7 except for pre-notified downtime due to server maintenance. In any case such downtime will be limited to a bare minimum and scheduled at hours that witness minimum Platform activity/usage.
- b. STPL will be responsible for upgrading the system and software as and when required and eliminate possible bugs, logical errors and inconsistencies.
- c. As a part of its onboarding services, the Platform will ensure that each SP is able to display an attractive profile, work descriptions, pictures and videos that suitably highlights their capabilities.
- d. STPL will strive to augment SP’s professional competencies by offering various support schemes in the areas of soft-skill training, business development and other forms of support services aimed at upgrading SPs’ capabilities over time. Such services may be paid services (payable by SP) or complementary, at the discretion of STPL.
- e. The Platform will assist SPs through generic as well as service-specific marketing activities, both through social media as well as offline, in order to increase SPs visibility and help them attract more customers.
- f. The Platform will formulate and update from time to time, Standard Operating Practices (SOPS) for service delivery for guidance and observance by SPs and ensuring standardisation of service delivery.
- g. The Platform will actively try to secure service-related projects and events directly from customers and allocate such projects amongst onboarded SPs so that they get additional business, over and above those that result directly from customer enquiries.
- h. The Platform will make utmost effort to attract more and more registered customers on the Platform and will provide various incentives, schemes and activities to ensure that such registered customers keep accessing the Platform frequently and apply all other means to increase Platform traffic.
- i. While STPL will make best efforts to promote SPs through the Platform, it does not guarantee or warrant and makes no representation whatsoever regarding the reliability, quality, or suitability of the SPs, except by way of service ratings that result from customer feedback submitted at the end of each service engagement.
5. PRICING, FEES AND PAYMENT TERMS
The following Fees are payable by Service Providers onboarded on the Platform:
- a) Annual Subscription Fees: Annual Subscription Fees are payable by SPs at the time of onboarding and subsequently every year thereafter. Subscription Fees vary, based on service category and notified at the time on onboarding.
- b) Transaction Fees: The Platform charges a transaction fee, which may be a percentage of the transaction value or a fixed amount as agreed with service provider or on a service-to-service basis. Normally, transaction fees are chargeable by Platform in cases where the Platform directly receives service/event order from customers and allocates such work to selected SPs.
- c) Fees for ‘Featured Service Provider’: A featured Service Provider is a service provider whose profile is prominently featured on the Platform home page or displayed strategically on the Platform leading to enhanced visibility and preferential access by interested customers. Fees for Featured Service Provider is set from time to time by the Platform and is also dependent upon the degree of visibility and preferential access.
- d) Material Costs: STPL may require SPs to pay for and purchase service-related material wherever required for the purpose of service standardization and where such products may be required for rendering quality services.
- e) Payment Terms: Fees are payable in advance and payment is accepted through online fund transfer at the designated bank account of STPL.
6. LIABILITY AND INDEMNIFICATION
Service Provider agrees to indemnify, defend, and hold harmless the Meghdut Digital Platform, Syspedia Technologies Private Limited, its subsidiaries and associates, its respective officers, directors, employees, customers, partners and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with any breach of this agreement, specifically with respect to the provisions mentioned hereunder:
- a) You represent and warrant that all information that you provide in relation to the Services is complete, true, and correct on the date of agreeing to these Terms and shall continue to be complete, true, and correct while you continue to be onboarded on the Platform. Should any information that you provide change during the applicability of these Terms, you undertake to immediately bring such change to our notice.
- b) The Platform does not accept any responsibility or liability for any loss or damage that you may suffer or incur if any information, documentation, material or data, provided to avail the services is incorrect, incomplete, inaccurate, or misleading or if you fail to disclose any material fact.
- c) You shall extend all cooperation to us in our defence of any proceedings that may be initiated against us due to a breach of your obligations or covenants under these Terms.
- d) You warrant that you are solely responsible for all activities that occur on or through the Platform during the course of your service delivery and that your activities as part of Platform-generated service fulfilment will not lead to any harmful outcome, lead to invasion of another’s privacy, discrimination based on gender, ethnically objectionable, disparaging, relating to, or encouraging money laundering or gambling, libellous, hateful, racist, violent, obscene, pornographic, unlawful, criminal acts, harmful to children, or otherwise offensive, objectionable, or restricts, or inhibits any other person from using or enjoying the services.
- e) You shall not use the Platform features and functionalities in any manner except as expressly permitted in these Terms. Without limiting the generality of the preceding sentence, you shall not:
- I. infringe on any proprietary rights, including but not limited to copyrights, patents, trademarks, or trade secrets of any party;
- II. except as may be provided hereunder, copy, display, distribute, modify, publish, reproduce, store, transmit, post, translate, create any derivative works from or license granted by the Platform;
- III. engage in the systematic retrieval of content from the Platform to create or compile, directly or indirectly, a collection, compilation, database, website or directory;
- IV. use the Platform and activities facilitated by the Platform a) in any unlawful manner; b) for fraudulent, malicious or criminal activities; c) to violate applicable laws or (d) in any manner inconsistent with these Terms;
- f) You warrant that you shall not engage in any activity that interferes with or disrupts the functioning of the Platform and its services.
- g) You shall not attempt to gain unauthorised access to any portion or feature of the Platform, any other systems or networks connected to the Platform, to any of our servers, or through the Platform by hacking, password mining, or any other illegitimate means.
- h) In no event shall STPL, its officers, directors, and employees, associates or its contractors, agents, licensors, customers, partners, supplier be liable for any direct, indirect, incidental, consequential, punitive or exemplary damages, including without limitation, lost business opportunities, lost revenues, or loss of anticipated profits or any other pecuniary or non-pecuniary loss or damage, including third party damage of any nature whatsoever, even if STPL or an authorised representative had been advised of the possibility of such damages, arising out of, or relating to i) these Terms, ii) arising out of service fulfilment or iii) your use or inability to use the services or iv) any other interactions with another user/provider of the services.
- i) To the maximum extent permitted by law, our liability shall be limited to the amount of commission we receive in respect of a particular booking made on the Platform and in no event shall our total liability to you in connection with these Terms exceed INR 10,000 (Rupees Ten Thousand only).
7. INTELLECTUAL PROPERTY
- a) All rights, titles, and interest in, and pertaining to the Platform, including trademarks, copyrights, and patents and all other intellectual property rights arising out of the Platform, including the platform-based services, its various promotional schemes and their names are owned by or otherwise licensed to STPL. Subject to compliance with these Terms, we grant the SP a non-exclusive, non-transferable, non-sub licensable, revocable, and limited licence to use the Platform-based services in accordance with these Terms and our written instructions issued from time to time. Any rights not expressly granted herein are reserved the Platform or its licensors.
- b) From time to time the Platform may conduct interviews, capture video/audio or take pictures of service providers in relation to their work and post such content on social media platforms for publicity or by way of advertisement, benefitting both the Platform and such SPs. Such content will be treated as intellectual property owned by the Platform and the concerned SPs will have no claim to ownership or seek remuneration for such content.
- c) We may request SP to submit suggestions and other feedback relating to the services from time to time (“Feedback”) and use such Feedback freely and copy, disclose, publish, display, distribute, and exploit the Feedback we receive without any payment of royalty, acknowledgement, prior consent, or any other form of restriction arising out of the SP’s or any third-party intellectual property rights.
8. PRIVACY AND DATA PROTECTION
- a) The Platform collects personal and business-related data of SP at the time of onboarding and subsequently. This data is solely used by the Platform for creating a rich Profile and highlight the capabilities of the SP for better appreciation by Customers and is not released to external, third parties who are not integral to the functioning of the Platform and its services. Similarly, service-related and transactional data is also not released to any external/third parties and held by the Platform in strict confidence.
- b) However, subject to applicable laws, we may be directed by law enforcement agencies or the government and related bodies to disclose data in relation to you in connection with criminal or civil proceedings. You understand and agree that in such instances we shall have the right to share such data with relevant agencies or bodies.
9. TERMINATION
- a) We may restrict, deactivate, or terminate your access to, or use of, the Platform, or any portion thereof, with or without giving you written notice at any point at our sole discretion, a) if it is found out that information provided by you as part of the onboarding process, or subsequently updated, was incorrect, incomplete or misleading; b) if during the course of your rendering service, a customer makes any serious complaint to us, whose seriousness will be established by STPL based on applicable policy, or makes a complaint to external agencies like law enforcement or consumer protection agencies and such complaints are brought to our notice; c) if your cumulative service rating drops below 2 stars, d) if you fail to obtain/renew the required licenses and permits; e) you do not, or are likely not to qualify under applicable law, or the standards and policies of the Platform or its affiliates; f) for any legitimate business, legal, or regulatory reason and g) if you violate or breach any of the obligations, responsibilities, or covenants under these Terms.
- b) You may terminate these Terms, at any time, for any reason by contacting the Platform's customer support contact number or sending a WhatsApp message to the Meghdut WhatsApp account.
- c) Upon termination of these Terms, i) your profile will be deactivated, and ii) these Terms shall terminate, except for those clauses that are expressly, or by implication, intended to survive termination or expiry.
10. JURISDICTION AND GOVERNING LAWS
These Terms shall be governed by and construed and enforced in accordance with the laws of India. Subject to other provisions in this clause, courts in Kolkata shall have exclusive jurisdiction over all issues arising out of these Terms or the use of the Services.
11. MISCELLANEOUS PROVISIONS
- a) Changes to Terms: The Terms are subject to revisions at any time, as determined by us, and all changes are effective immediately upon being posted on the Platform. It is your responsibility to review these Terms periodically for any updates or changes. You will be deemed to have accepted the changes made to these Terms if you continue to use the Platform once it has been posted.
- b) Modification to the Services: We reserve the right at any time to add, modify, or discontinue, temporarily or permanently, the services (or any part thereof), with or without cause. We shall not be liable for any such addition, modification, suspension, or discontinuation of the services.
- c) Severability: If any provision of these Terms is determined by any court or other competent authority to be unlawful or unenforceable, the other provisions of these Terms, including lawful parts of the clause which may be deemed partially unlawful or unenforceable, will continue to be in effect.
- d) Assignment: You shall not license, sell, transfer, or assign your rights, obligations, or covenants under these Terms in any manner without our prior written consent. We may grant or withhold this consent at our sole discretion, subject to any conditions we deem appropriate.
- e) Notices: All notices, requests, demands, and determinations under these Terms (other than routine operational communications) shall be sent by us to your registered WhatsApp number.
- f) Force Majeure: We shall have no liability to you if we are prevented from or delayed in performing our obligations, or from carrying on our business, by acts, events, omissions, or accidents beyond our reasonable control, including without limitation, strikes, failure of a utility service or telecommunications network, act of God, war, riot, civil commotion, malicious damage, or compliance with any law or governmental order, rule, regulation, or direction.
- g) Partnership or Agency: None of the provisions of these Terms shall be deemed to constitute a partnership, agency or employment between you and STPL and you shall have no authority to bind us in any form or manner, whatsoever.
