By accessing or using the Meghdut website, mobile application, mobile browser or browser extension (collectively referred to as the "Platform"), you agree to comply with and be bound by the following Terms and Conditions (the "Terms"). By creating an account, using the Platform, or participating in any of our services or promotions, you agree to these Terms and any additional terms and conditions that may apply. If you do not agree to these Terms, you must not use the Platform.
For the purposes of these Terms:
Meghdut is a digital retail platform where merchants, customers, and logistic providers can expand their reach for buying and selling products or services. The platform facilitates communication between users.
3.1 Eligibility: To use the Platform, you must be at least 18 years old and capable of entering into legally binding contracts. By using the Platform, you represent and warrant that you meet these requirements.
3.2 Account Responsibility: You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4.1 Intermediary Role: Meghdut acts solely as an intermediary platform where Customers can connect with Merchants. It is expressly understood that any contract for the sale of products or services is solely between the seller and the buyer. Meghdut does not hold any ownership rights over the products nor does it assume any obligations or liabilities related to such transactions. Meghdut bears no responsibility for unsatisfactory or delayed service performance, or for damages or delays arising from products that are out of stock, unavailable, or on back-order. Meghdut does not take part in or have control over the commercial or contractual terms between Buyers and Sellers.
4.2 No Liability for Transactions: All commercial/contractual terms related to the purchase of products or services, including but not limited to price, shipping costs, payment methods, and delivery terms, are agreed upon directly between Buyers and Sellers. Meghdut is not responsible for the terms of such agreements or any disputes arising from them.
5.1 Merchants/sellers are responsible for ensuring that all products listed on the Platform (if any) comply with applicable laws and regulations, such as the Legal Metrology Rules and that they possess all necessary rights, licenses, and permissions to list and sell products on the Platform. They are solely accountable for the accuracy and completeness of their product listings.
5.2 Merchants/sellers are solely responsible for all taxes, duties, and other charges applicable to the sale of your products. They are also responsible for obtaining all necessary licenses and permits required for selling your products on the Platform.
5.3 Merchants/sellers are required to maintain accurate and complete records of all transactions and sales conducted through the Platform, and they must furnish such records to Meghdut upon request.
5.4 Merchants/sellers are prohibited from engaging in any fraudulent or deceptive practices while using the Platform. They may not misrepresent the quality, nature, or authenticity of the products listed on the Platform.
6.1 Eligibility for Cashback/Rewards: Customers are eligible for cashback or rewards offer only when they meet the specific conditions described in the promotional terms and conditions.
6.2 Terms of the Offer: Details of the cashback and rewards program, including eligibility criteria, the mechanism for claiming rewards, and any exclusions or limitations, are outlined in the special promotional offer terms, which are available on the Platform.
7.1 Prohibited Activities: You agree not to use the Platform for any unlawful purposes or in any manner that could damage, disable, overburden, or impair the Platform. Prohibited activities include but are not limited to:
7.2 Compliance with Laws: You agree to comply with all applicable laws and regulations in connection with your use of the Platform.
8.1 Governing Law: These Terms are governed by and construed in accordance with the laws of India.
8.2 Jurisdiction: Any disputes arising from or related to your use of the Platform or these Terms shall be exclusively submitted to the jurisdiction of the courts located in Kolkata, India.
9.1 Ownership: All content, features, and functionality on the Platform, including text, graphics, logos, and software, are the exclusive property of Syspedia Technologies Pvt Ltd and are protected by intellectual property laws.
9.2 Limited License: You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for specific purposes as laid out under “Definition” in accordance with these Terms.
10.1 Termination by Us: We reserve the right to terminate or suspend your access to the Platform at any time, with or without cause, if we believe you have violated these Terms.

Neither party shall be held liable for any failure or delay in the performance of any obligations under this agreement, if such failure or delay is caused by circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government regulations, embargoes, strikes, labour disputes, or any other similar event (collectively referred to as 'Force Majeure Event').
However, the party affected by the Force Majeure Event shall make reasonable efforts to mitigate the impact of such event and resume the performance of its obligations as soon as practicable.
We reserve the right to modify these Terms at any time. Any changes will be posted on the Platform, and your continued use of the Platform constitutes acceptance of the updated Terms.

14.1 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.
14.2 Entire Agreement: These Terms constitute the entire agreement between you and Syspedia Technologies Pvt. Ltd. / Meghdut regarding your use of the Platform.
14.3 Indemnification The merchant/seller and customer agree to indemnify and hold Syspedia Technologies Pvt Ltd, its suppliers, service providers, officers, directors, agents, and employees harmless from all losses, costs, liabilities, expenses, claims, or demands, including reasonable attorneys' fees, asserted by any third party arising from or related to the merchant/seller's or customer's breach of the User Agreement or any documents referenced therein, or violation of any law or third party rights.
14.4 Limitation of Liability In no event shall Syspedia Technologies Pvt Ltd, its suppliers, service providers, officers, directors, employees, contractors, or agents be liable for lost profits or any special, incidental, or consequential damages arising out of or in connection with the software, additional software, services, or this agreement (regardless of the cause of action, including negligence). The cumulative liability of Syspedia Technologies Pvt Ltd, its suppliers, service providers, officers, directors, employees, contractors, and agents to the licensee or any third parties under any circumstances shall be limited to the total payments received by Syspedia Technologies Pvt Ltd, if any, specifically for that particular service or month.
